DYING TO BOOK MINIMIND TERMS & CONDITIONS
These Terms and Conditions (“Agreement”) govern your purchase of and participation in the Dying To Book MiniMind (the “Program”), owned and operated by Marissa Grace LLC (“Company,” “we,” “us,” or “our”).
By purchasing the Program, submitting a deposit, selecting a payment plan, and/or checking the box indicating your acceptance of these Terms and Conditions, you (“Client,” “Member,” or “you”) acknowledge that you have read, understood, and agree to be bound by this Agreement.
## 1. PROGRAM DESCRIPTION
The Dying To Book MiniMind is a group business education and mentorship program for bridal beauty professionals.
Depending on the applicable cohort, the Program may include educational materials, implementation exercises, community access, live group calls, feedback or revisions, sales and marketing training, templates, challenges, replays, and other resources determined by Marissa Grace LLC.
Specific Program dates, duration, inclusions, and delivery methods may be provided on the applicable sales or checkout page.
The Program provides business education and mentorship only and does not constitute legal, financial, accounting, medical, psychological, or other licensed professional advice.
## 2. ELIGIBILITY
You must be at least 18 years old and legally capable of entering into a binding agreement to enroll.
By purchasing or submitting a deposit, you represent that you meet these requirements.
## 3. ENROLLMENT & FINANCIAL COMMITMENT
Enrollment in the Dying To Book MiniMind constitutes a financial commitment to the **total Program investment stated at the time of your enrollment**, regardless of whether you choose to pay in full, submit a deposit, or use a payment plan.
A payment plan is a payment accommodation and does not constitute a month-to-month membership or subscription that may be canceled at any time.
By enrolling, you agree to pay the entire Program investment according to the payment terms presented to you at checkout.
## 4. DEPOSITS & RESERVED SEATS
If you reserve a Program seat using a deposit:
* Your deposit is applied toward your total Program investment.
* Your deposit is **non-refundable and non-transferable**, except where otherwise required by applicable law.
* Your deposit may not be transferred to another person, service, offer, Program, or future MiniMind cohort.
* Submitting a deposit constitutes enrollment in the applicable Program cohort and your agreement to pay the remaining Program investment according to the payment terms provided at checkout.
* Failure to participate in the Program does not eliminate your payment obligation.
If your checkout states that your deposit locks in a particular Program price, that price will remain your total Program investment for the applicable cohort even if Marissa Grace LLC later increases the publicly available Program price.
### JANUARY 2027 ROUND 3 DEPOSIT TERMS
For Clients reserving a seat in the January 2027 Round 3 cohort under the $500 deposit offer:
**Total Program Investment:** $2,497
**Deposit Due at Enrollment:** $500
**Remaining Program Investment:** $1,997
Your $500 deposit reserves your seat and locks your total Program investment at $2,497, even if the publicly available price for the January 2027 cohort subsequently increases.
Your remaining $1,997 must either be paid in full or placed on an available payment plan by the deadline communicated at checkout and/or in your enrollment confirmation.
Failure to establish the required payment arrangement by the applicable deadline may result in suspension or loss of your reserved Program access. Any amounts already paid remain subject to the non-refundable and non-transferable terms of this Agreement, except where otherwise required by law.
## 5. PAYMENT PLANS
If you select or establish a payment plan:
* You authorize Marissa Grace LLC and its payment processor to charge the payment method provided according to the payment schedule disclosed to you.
* You remain responsible for the entire unpaid Program balance regardless of your level of participation.
* Choosing not to participate, failing to attend calls, failing to access materials, or leaving the community does not cancel your payment obligation.
* Payment plans may not be canceled solely because you change your mind, become unavailable to participate, or decide the Program is no longer a fit.
* Failure to complete scheduled payments may result in suspension or termination of Program and community access.
If a scheduled payment fails, you remain responsible for bringing your account current.
Marissa Grace LLC reserves the right to suspend Program access while an account remains past due.
## 6. REFUND & CANCELLATION POLICY
**All sales are final.**
Payments made toward the Dying To Book MiniMind, including deposits, pay-in-full purchases, and payment-plan installments, are non-refundable and non-transferable except where otherwise expressly stated in writing by Marissa Grace LLC or required by applicable law.
Because the Program includes reserved cohort capacity, access to intellectual property, digital materials, live components, and/or business education, refunds will not be provided because you:
* Change your mind.
* Decide not to participate.
* Are unable to attend live sessions.
* Do not complete the Program.
* Do not implement the material.
* Experience changes in your personal or business circumstances.
* Do not achieve your desired business results.
Your decision to discontinue participation does not automatically cancel or eliminate an outstanding payment obligation.
Nothing in this Agreement is intended to waive any non-waivable consumer rights available to you under applicable law.
## 7. PROGRAM DATES, DELIVERY & PARTICIPATION
The MiniMind is a cohort-based Program.
Program dates, community access periods, call schedules, and other delivery details will be communicated for your applicable cohort.
You understand that:
* Live call dates or times may occasionally change.
* Calls may be recorded and made available as replays.
* Specific exercises, curriculum, challenges, resources, or implementation activities may be modified as the Program evolves.
* Marissa Grace LLC may make reasonable changes to Program delivery, curriculum, scheduling, or structure when necessary.
Your inability to attend a particular live session does not entitle you to a refund or cancellation of your remaining payment obligation.
## 8. FEEDBACK, REVISIONS & SUPPORT
The MiniMind is a group mentorship experience and is **not private 1:1 coaching** unless specifically stated otherwise in your purchase.
Any feedback, revisions, community support, implementation reviews, or live coaching included in your cohort are subject to the structure and boundaries established by Marissa Grace LLC.
You understand that:
* There is no unlimited access to Marissa Grace.
* Responses are not guaranteed immediately or daily.
* Feedback must be submitted through designated Program channels and within applicable deadlines.
* Unused feedback, revisions, calls, or support do not roll over beyond the applicable Program or community-access period unless expressly stated otherwise.
* Failure to submit work or participate during the designated period does not create an entitlement to additional support after the Program ends.
## 9. COMMUNITY GUIDELINES & CONDUCT
You agree to participate respectfully and professionally.
The following behavior is prohibited:
* Soliciting, recruiting, or promoting your own programs, coaching, memberships, services, masterminds, or offers to other members without express permission.

* Unauthorized sharing or distribution of Program materials.
Violation of these standards may result in removal from the Program without refund.
## 10. RIGHT TO REMOVE PARTICIPANTS
Marissa Grace LLC reserves the right to suspend or remove a participant from Program communities, live sessions, or Program access for material violation of this Agreement, non-payment, harassment, misconduct, intellectual property violations, or behavior that materially disrupts the Program or other participants.
Removal for violation of this Agreement does not automatically cancel outstanding payment obligations, to the extent permitted by applicable law.
No refund will be provided for removal resulting from a participant's breach of this Agreement, except where otherwise required by law.

Unauthorized use may result in termination of access and Marissa Grace LLC may pursue any remedies available under applicable law.
## 12. CONFIDENTIALITY
The MiniMind may involve participants discussing confidential information about their businesses, finances, clients, marketing, sales, or personal experiences.
You agree not to share, publish, reproduce, record, screenshot for public distribution, or otherwise disclose another participant's confidential information outside the Program without that person's permission.
## 13. RECORDING OF GROUP SESSIONS
Live group sessions may be recorded for Program delivery and replay purposes.
By participating with your camera, microphone, chat messages, submitted work, or other identifying information visible or audible during a recorded session, you acknowledge that your participation may appear in the Program replay made available to other authorized Program participants.
If you do not wish to appear visually or audibly in a recording, you may participate with your camera and/or microphone disabled where the platform permits.
## 14. TESTIMONIALS & CLIENT RESULTS
Your participation in the Program does not automatically grant Marissa Grace LLC unlimited rights to use your name, image, likeness, private messages, or business results for marketing purposes.
Where legally required, permission to use identifiable testimonials, screenshots, images, or other client content for promotional purposes will be obtained separately.
## 15. NO GUARANTEE OF RESULTS
You understand and agree that:
* Business results are not guaranteed.
* Income, revenue, booking, inquiry, conversion, follower, engagement, or other examples are illustrative and do not promise your results.
* Individual outcomes vary based on implementation, experience, market conditions, pricing, audience, effort, business decisions, and numerous other factors.
* Marissa Grace LLC does not guarantee any particular number of bookings, inquiries, followers, sales, clients, revenue, or profit.
You remain solely responsible for your business decisions, implementation, and results.
## 16. PROFESSIONAL DISCLAIMER
The Program provides education, mentorship, strategy, and general business information.
Marissa Grace LLC is not acting as your attorney, accountant, financial advisor, therapist, medical provider, or other licensed professional.
You are responsible for obtaining appropriate professional advice for your individual circumstances.

To the fullest extent permitted by applicable law, Marissa Grace LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Program, including lost profits, lost business opportunities, business interruption, or data loss.
To the fullest extent permitted by law, the Company's aggregate liability arising from or relating to the Program shall not exceed the amount actually paid by you to Marissa Grace LLC for the applicable Program.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
## 18. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Marissa Grace LLC and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from your misuse of Program materials, violation of another person's rights, or material breach of this Agreement.
## 19. TECHNOLOGY & THIRD-PARTY PLATFORMS
Program delivery may depend on third-party platforms and technology.
Marissa Grace LLC is not responsible for temporary outages, platform failures, internet disruptions, or other technical issues outside its reasonable control.
Where reasonably possible, the Company may provide alternative access or accommodations when a significant technical issue affects Program delivery.
## 20. FORCE MAJEURE
Marissa Grace LLC shall not be liable for reasonable delays, rescheduling, or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe illness or incapacity, government action, internet or platform outages, labor disruptions, or other extraordinary events.
## 21. TERMINATION
Marissa Grace LLC may suspend or terminate Program access for:
* Material breach of this Agreement.
* Non-payment.
* Harassment or serious misconduct.
* Intellectual property violations.
* Unauthorized distribution of Program materials.
Termination resulting from your breach does not entitle you to a refund, except where required by applicable law.
## 22. GOVERNING LAW
This Agreement shall be governed by the laws of the State of New Jersey, without regard to its conflict-of-law principles, except to the extent applicable consumer-protection laws require otherwise.
## 23. DISPUTE RESOLUTION
Before initiating formal proceedings, you and Marissa Grace LLC agree to make a good-faith effort to resolve any dispute arising from this Agreement informally.
To the extent permitted by applicable law, unresolved disputes shall be submitted to binding individual arbitration in New Jersey pursuant to the applicable rules and procedures of the arbitration provider identified by the parties or otherwise required under applicable law.
Each party shall bear its own attorneys' fees and costs except where applicable law, the arbitration rules, or an arbitrator provides otherwise.
Nothing in this provision is intended to prevent either party from pursuing a claim in small claims court where legally permitted or from exercising rights that cannot lawfully be waived.
## 24. SEVERABILITY
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.
## 25. ENTIRE AGREEMENT
This Agreement, together with the applicable checkout page and any written enrollment terms expressly incorporated into your purchase, constitutes the agreement between you and Marissa Grace LLC regarding your enrollment and supersedes prior representations concerning the same subject matter.
